UK Licensing
Licences for the use of our music and recordings must be obtained, prior to any exploitation, from The Mechanical Copyright Protection Society Ltd (MCPS), who are our sole licensors in the UK. Broadcast and public performance must be licensed through the Performing Right Society Ltd (PRS).
Anyone wishing to use Production Music must first sign up to the MCPS Code of Conduct, an agreement between MCPS and music users which defines the terms of how Production Music may be used and the procedure for making licence applications.
Signing up to the code is now an online acceptance procedure and only need be completed once per user. You will be prompted to confirm that you have read and understood the terms and conditions and are willing to enter into the agreement the first time you use the AFML; subsequent applications will bypass this process.

PRODUCTION MUSIC LIBRARIES CODE OF CONDUCT
What follows are the fourteen terms and conditions of the agreement entered into between the Mechanical-Copyright Protection Society Limited ("MCPS") and a Production Company where the Production Company has offered to enter into an agreement on such terms and conditions and MCPS has notified the Production Company of its acceptance of that offer.
- MCPS enters into this Code of Conduct on behalf of itself and its current and future Production Music Library members (?Production Music Publishers?).
- MCPS hereby authorises the Producer to receive Musical Works and Sound Recordings known as Production Music controlled or administered by the Production Music Publishers (?Production Music Works?) during the period of this Code of Conduct in the form of sound carriers supplied by Production Music Publishers (?Production Music Discs?/ ?Production Music Files?).
- In return for the above authorisation, the Producer agrees that it will at all times comply with the terms and conditions set out in this Code of Conduct. The authorisation is conditional upon the Producer doing this.
- For the avoidance of doubt, no authorisation is granted to the Producer under this Code of Conduct to either copy or distribute Production Music Works. Such authorisation may only be granted by the issuing of a licence. Any such licence is, for the further avoidance of doubt, subject to the conditions set out in this Code of Conduct as well as those set out in the licence itself.
- In order to apply for a licence to copy and/or distribute Production Music Works, the relevant MCPS Application for Music Licence (?AFML?) must be fully and accurately completed by the Producer and received by MCPS in accordance with the following rules. The Producer must complete all parts of the AFML set out in either the MCPS On-line AFML or the MCPS Application for Music Licence form (Document No, 54-34). This must be carried out for each separate production incorporating any Production Music Work, and the Producer must deliver the properly completed Form to MCPS immediately upon completion of the production.

- (a) Licences for the recording of Production Music Works are granted in the form of invoices at rates published in the MCPS Production Music Rate Card and on terms and conditions set out on the front and back of the invoices. However, where the relevant Application for Music Licence has not been received by MCPS in accordance with the provisions of this Code of Conduct, MCPS on behalf of the Production Music Publishers reserves the right to charge rates above those published.
- (b) Licences are at all times conditional upon full compliance with the terms and conditions set out in the licence document, including the payment of the royalties and other fees specified in the invoice and VAT thereon within the period stated in the invoice. The standard terms on which licences are granted for the use of Production Music Works are printed on the invoice. Specimen copies may be obtained from MCPS upon application, but these may be subject to change from time to time.

- (a) MCPS may give written notice of not less than 5 working days that it wishes to carry out verification procedures at the Producer?s premises. Where this notice has been given, the Producer will allow MCPS through its authorised representatives to attend any of the Producer?s premises, and inspect and take copies of productions, books, documentary records and supporting documentation (for example, the Client?s production details) as they consider are required to check that the Producer is fulfilling its obligations under this Code of Conduct and any licences granted by MCPS. The Producer undertakes that it will maintain books and documentary records and such underlying documentation as will enable the representatives to carry out their task satisfactorily. This Clause applies even after this Code of Conduct has been terminated, but only for a period of one year thereafter.
- (b) Where inspections carried out as referred to in (a) above (or any other inspections, verifications or other monitoring exercises that MCPS undertakes) reveal that the Producer has failed to properly license its productions according to this Code of Conduct (or any licence issued under it), then MCPS reserves the right to charge the Producer in relation to its costs incurred in undertaking such inspection, verification or other monitoring exercise (in addition to any further licence fees that may be payable).
- Where the Producer is or becomes a member of a trade organisation or other similar organisation or association with whom MCPS has an agreement with regard to the use of Production Music Works, this Code of Conduct shall be subject to the terms and conditions of that agreement. If the latter agreement ceases to have effect for any reason, this Code of Conduct shall again apply with effect from the date of termination.

- (a) This Code of Conduct may be terminated by either party upon 4 weeks written notice.
- (b) In addition, MCPS shall have the right to terminate this Code of Conduct immediately by written notice to the Producer if: (i) the Producer commits a material breach of this Code of Conduct which is not capable of remedy; or (ii) the Producer commits a material breach of this Code of Conduct which is capable of remedy but which has not been so remedied within 2 weeks of notice thereof; or (iii) the Producer goes into receivership or any resolution is passed for its winding-up or liquidation (other than for the purposes of reconstruction or amalgamation) or is otherwise unable to pay its debts.
- (c) MCPS may amend this Code of Conduct by giving four weeks notice to the Producer, at which point such amended Code of Conduct will become binding on the Producer. The Producer may in such circumstances terminate the Code Conduct by giving notice to MCPS prior to the date on which the amendment was to take effect.
- (d) If this Code of Conduct is terminated as between MCPS and the Producer, then the Producer shall no longer have the right to apply for licences from MCPS to copy and/or distribute Production Music.
- Physical copies of the MCPS Production Music Rate Card and Application for Licence form are available on application to MCPS (on-line versions of these documents also being available on this web-site) and the Producer hereby confirms that it is familiar with these documents. All references to such documents are references to the documents as published and updated from time to time by MCPS.
- MCPS will ask the Producer how it wishes to be contacted (if at all) by Production Music Publishers in relation to the availability of their music. MCPS will use reasonable endeavours to ensure that Production Music Publishers comply with the Producer?s instructions in this regard.
- This Code of Conduct is only between MCPS and the Producer, and its terms and conditions may not be relied on by any other party. It may not be assigned.
- This Licence shall be construed according to the laws of England and Wales and the parties agree to submit to the jurisdiction of the English Courts.

New and reduced production music rates
As of 1 October 2008 there are now new TV programming rates for independent production companies that have signed up to the IPC licence. These new rates provide you with a simple and affordable way for you to obtain additional rights such as worldwide broadcast, DVD and online.

Per programme rates
If a licensee?s total Production Music use fee (on a per programme basis) is calculated as being higher than that of the per programme rate then the per programme rate will automatically be charged.
- The UKTV rate for Channel Five includes the right to use production music within Five Life and Five US programming
- All TV programme rates also include +/- 30 day catch up for Video on Demand (VOD)
Once signed up to the IPC scheme the process is straight forward, submit your reporting in the usual way indicating to your account manager what rights and options you require for each production.

Defined Terms
Advert Plus - clears a Track for use within a single advertisement allowing unlimited Revisions, cut-downs and tag ending changes.
All Media - clears the relevant unit (per 30 second unit (or part thereof), or per Track), for use within all media whether now known or hereafter devised, including but not limited to TV, radio, online, physical product, theatrical, or public location.
Campaign - clears a Track for use within all related advertisements of a similar or developing theme for a single product, allowing unlimited Production Variations, Revisions, cut-downs and tag ending changes. Restricted to the relevant medium (All Media, TV Ads/Sponsored Idents, Radio Ads, Online & Mobile or Other Ads) and for a term of up to 12 months? duration. The rights in each
advertisement made are cleared in perpetuity; to continue making new advertisements using the same Track after the term has expired will require a new licence.
Production Variation - a change (such as to visuals or duration) made to the content of any one production within an advertising Campaign, for example a Campaign with a continuing or developing narrative or storyline.
Revision - a minor cosmetic change to an advertisement, largely unnoticeable to the viewer.
Track ? an entire song including rights in the musical work, sound recording and artist performance.

The per podcast rate allows you to use as much production music as you like in your podcast. You pay just the one rate
no matter how much music you use. There is no podcast length restriction.

Background to web/WAP page - A streamed musical background accompaniment to a homepage or any other section in the website. This is charged per domain name.
Streamed programming or Webcasting - Audio-only/audio-visual content specifi cally made available online in a ?play only? format where no permanent copy is retained. Examples include online TV or radio programmes that are made specifi cally for the net, corporate videos, interactive web or mobile games that are streamed.
Permanent Download - The use of a production music work in a context in which a permanent copy is retained by the end user by download. Examples include: interactive web or mobile games, online or TV programmes that are made specifi cally for the net, ringtones, Podcasts, vodcasts and audio-only/audio-visual content that is downloaded to a computer in a viral marketing email.
Podcast - A downloadable, audio-only programme subject to the following restrictions:
- Podcasts must be provided in the form of programmes in their entirety, and not as individual tracks or separate
portions. - Podcasts must contain both speech and music, with the speech interspersed throughout.
- There must not be any fl ags or markers inserted which enable the segmenting and disaggregation of tracks.
Please note:
All rates apply to digital delivery via internet, intranet and mobile networks. The rates are inclusive of dubbing fees and incorporate the right to reproduce both the underlying musical work AND the sound recording. All rates incorporate the right to loop the music.

Licensees will be charged per 30 seconds of music used (cumulative), based on their total usage per production.
Retail productions are non-broadcast audio-only or audio-visual productions, including DVDs or videos for sale or rental to the general public and covermount products.
Audio-only productions for retail sale (including audio books) that are primarily for the commercial exploitation of the music are specifi cally excluded. The music must be strictly incidental to the content of the production.
Rates for music use within gaming machines are available on request.
Interactive/looped use of music is charged at the corresponding rate plus 100%. The interactive rate allows for unrestricted use of the same music file (containing a single music cue) throughout an entire production, and also applies to the looping of music.
NB. Retail Games rates incorporate the right to loop the music.
Track ? an entire song including rights in the musical work, sound recording and artist performance.
